These Terms of Service and Sale (“Terms”) govern access to and use of the website located at aschdd.com, as well as purchases of products from Zloff Digital LLC, doing business as American Sonde Company and ASC (“ASC,” “we,” “our,” or “us”).
By accessing or using the website, submitting an order, or purchasing a product from ASC, you acknowledge that you have read, understood, and agree to these Terms, together with ASC’s Warranty Policy, Return Policy, Shipping Policy, Privacy Policy, Legal and Trademark Notice, and any product-specific terms presented before purchase.
PRODUCTS AND INDEPENDENT RESELLER STATUS
ASC operates as an independent reseller and supplier of horizontal directional drilling equipment, including transmitters, locating systems, receivers, remote displays, batteries, chargers, housings, and related accessories.
ASC sells genuine new and genuine independently refurbished equipment. The condition of each product is stated on its individual product page.
Unless expressly stated otherwise in writing, ASC is not the manufacturer, authorized dealer, authorized distributor, service center, agent, or representative of the original equipment manufacturers whose products are offered on the website.
All products are subject to availability. ASC may modify, discontinue, substitute, or limit the availability or quantity of any product at any time.
PRODUCT INFORMATION AND COMPATIBILITY
ASC makes reasonable efforts to provide accurate product descriptions, specifications, compatibility information, pricing, photographs, availability information, and condition disclosures.
Product specifications, appearance, packaging, included accessories, serial numbers, cosmetic condition, and performance may vary according to the product model, generation, revision, configuration, previous use, refurbishment, operating conditions, and other factors.
Product photographs may show the actual product or may be representative of the applicable model. Refurbished and previously used products may show cosmetic wear that does not affect normal operation.
Depth range, data range, battery life, temperature limits, frequency range, signal performance, and similar specifications may represent manufacturer ratings, supplier information, or estimated maximum performance. Actual field performance may vary due to ground conditions, interference, housing configuration, battery condition, equipment settings, environmental conditions, and operator use.
Customers are responsible for verifying product compatibility with their locating system, housing, application, software, firmware, batteries, and intended operating environment before ordering. Compatibility assistance provided by ASC is based on information supplied by the customer and does not constitute a guarantee when that information is incomplete or inaccurate.
ORDERS AND ORDER ACCEPTANCE
All orders are subject to acceptance by ASC.
An order confirmation or payment authorization does not necessarily constitute final acceptance of an order. ASC may refuse, cancel, hold, or limit an order for legitimate reasons, including:
• Product unavailability;
• Pricing, description, or inventory errors;
• Suspected fraud or unauthorized payment;
• Inability to verify customer, payment, destination, end user, or intended use;
• Export-control, sanctions, carrier, or legal restrictions;
• Duplicate or unusually large orders; or
• Circumstances that make fulfillment impractical or unlawful.
If ASC cancels an order after collecting payment, ASC will issue an appropriate refund to the original payment method, subject to processing times outside ASC’s control.
PRICING AND PAYMENT
Prices are displayed in the currency stated on the website and may change without notice. The price applicable to an accepted order is the price shown at checkout, unless an obvious pricing or technical error occurred.
Applicable shipping charges, taxes, duties, insurance, and other fees may be added during checkout or invoiced separately when appropriate.
Payments may be processed by third-party payment providers, including providers used through WooPayments or Stripe. Those providers may apply their own terms, verification procedures, privacy policies, and security requirements.
ASC may require additional payment verification, identification, business information, or confirmation before processing an order.
SHIPPING AND DELIVERY
Processing and delivery estimates are provided for convenience and are not guaranteed unless ASC expressly agrees in writing to a guaranteed service.
ASC is not responsible for delays caused by carriers, customs authorities, weather, natural disasters, labor disruptions, incorrect addresses, customer unavailability, security inspections, incomplete documentation, supply interruptions, or other circumstances outside ASC’s reasonable control.
Customers are responsible for providing a complete and accurate shipping address. Additional charges resulting from an incorrect address, refused shipment, failed delivery, or requested address correction may be charged to the customer.
Tracking information will be provided when available after shipment.
For domestic orders, risk of loss generally passes to the customer upon delivery to the customer or the customer’s authorized recipient, except where otherwise provided by applicable law or an express written agreement.
International shipping terms, risk of loss, and delivery responsibilities may also be governed by the shipping method, commercial invoice, quotation, or other written terms applicable to the order.
INTERNATIONAL ORDERS
International orders are subject to destination eligibility, carrier availability, customs requirements, export controls, sanctions laws, product restrictions, and local regulations.
Unless ASC expressly agrees otherwise in writing, the customer is responsible for:
• Customs duties;
• Import taxes and value-added taxes;
• Brokerage and clearance fees;
• Import permits and product registrations;
• Local regulatory requirements; and
• Confirming that the product may lawfully be imported, possessed, and operated in the destination country.
ASC may decline, cancel, or hold an international order when the customer, destination, end user, end use, payment, or product eligibility cannot be reasonably verified.
International delivery estimates do not include customs delays, inspections, documentation requests, or delays imposed by local authorities.
RETURNS, REFUNDS, AND EXCHANGES
Returns, refunds, and exchanges are governed by ASC’s Refund and Returns Policy, which is incorporated into these Terms.
Customers must obtain authorization before returning a product. Unauthorized returns may be refused or returned to the sender.
Products damaged by misuse, improper installation, incompatible equipment, physical impact, crushing, overheating, water or drilling-fluid intrusion, unsuitable power sources, unauthorized modification, disassembly, attempted repair, or operation outside applicable specifications may be ineligible for return, refund, exchange, or warranty coverage.
WARRANTY
Any warranty provided by ASC is governed by ASC’s Warranty Policy and any product-specific warranty terms displayed before purchase.
Unless expressly stated otherwise, ASC warranties are independent warranties provided by ASC and are not original-manufacturer warranties, factory service programs, or authorized-dealer warranties.
Except as expressly provided in ASC’s written Warranty Policy, products are provided subject to the condition and specifications stated on their product pages.
Any implied warranties that cannot legally be excluded may be limited, to the extent permitted by applicable law, to the duration of the applicable written warranty.
Nothing in these Terms excludes or restricts any warranty, right, or remedy that applicable law does not permit ASC to exclude or restrict.
PROFESSIONAL USE AND CUSTOMER RESPONSIBILITY
Products sold by ASC are intended primarily for trained and experienced horizontal directional drilling professionals.
The customer is responsible for:
• Confirming suitability and compatibility before use;
• Inspecting equipment before field operation;
• Following applicable manufacturer instructions and safety procedures;
• Using appropriate batteries, housings, chargers, and accessories;
• Complying with workplace, environmental, transportation, radio-frequency, and other regulations; and
• Discontinuing use if equipment appears damaged, inaccurate, overheated, or unsafe.
The customer acknowledges that HDD operations involve substantial risks, including equipment failure, inaccurate readings, underground utility strikes, property damage, personal injury, project delays, downtime, and financial loss.
ASC is not responsible for damage or loss caused by improper installation, incompatible equipment, misuse, negligent operation, failure to follow instructions, unauthorized modification, or use outside the product’s intended specifications.
Nothing on the website constitutes engineering, surveying, locating, safety, legal, regulatory, or other professional advice.
LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, ASC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including:
• Lost profits or revenue;
• Loss of business or contracts;
• Project delays or downtime;
• Substitute-equipment expenses;
• Labor or recovery costs;
• Loss of data or use; or
• Contractual penalties owed to third parties.
To the fullest extent permitted by law, ASC’s total aggregate liability arising from a product, order, website use, or related claim will not exceed the amount actually paid to ASC for the specific product or order giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
PAYMENT DISPUTES AND CHARGEBACKS
Before initiating a chargeback or payment dispute, customers are requested to contact ASC and make a reasonable good-faith effort to resolve the issue directly.
ASC may provide payment processors, card issuers, banks, or dispute-resolution providers with relevant order records, delivery confirmation, photographs, product information, inspection results, correspondence, and other documentation relating to a disputed transaction.
Fraudulent transactions, knowingly false claims, abuse of dispute procedures, or bad-faith chargebacks may result in cancellation of pending orders, refusal of future service, collection activity, or legal action where appropriate.
Nothing in these Terms eliminates or restricts any billing-dispute, chargeback, or payment right that cannot legally be waived.
TRADEMARKS AND INTELLECTUAL PROPERTY
All manufacturer names, product names, trademarks, service marks, and logos referenced on the website belong to their respective owners.
ASC is not affiliated with, endorsed by, sponsored by, or authorized by Digital Control Incorporated, DigiTrak®, Underground Magnetics®, Subsite® Electronics, or any other manufacturer referenced on the website, unless expressly stated otherwise.
References to manufacturer names and trademarks are used to identify genuine products offered for resale, describe compatibility, and distinguish between equipment models.
The ASC website design, original text, graphics, branding, photographs owned by ASC, and other original website materials may not be reproduced, republished, distributed, or commercially used without permission.
ACCEPTABLE WEBSITE USE
You may not:
• Attempt unauthorized access to the website, accounts, servers, or connected systems;
• Introduce malware, malicious code, or disruptive technology;
• Scrape, copy, or extract website content for unauthorized commercial use;
• Interfere with website operation or security;
• Submit false, misleading, fraudulent, or unlawful information; or
• Use the website in violation of applicable law.
ASC may suspend or restrict access to the website when reasonably necessary to protect the business, customers, systems, or other users.
INFORMAL DISPUTE RESOLUTION
Before initiating formal legal proceedings, either party must provide the other with written notice describing the dispute and requested resolution.
The parties will make a good-faith effort to resolve the dispute informally for at least thirty (30) days after the notice is received.

ARBITRATION AND CLASS-ACTION WAIVER
Except for claims eligible for small-claims court, requests for temporary injunctive relief, collection actions involving undisputed amounts, or claims that applicable law does not permit to be arbitrated, disputes arising from these Terms, the website, an order, or a product purchased from ASC will be resolved through binding individual arbitration.
Arbitration will be administered by the American Arbitration Association under the rules applicable to the nature of the transaction and claim. The arbitration may be conducted remotely, by written submissions, or at a mutually agreed location.
The arbitrator may award any individual remedy available under applicable law but may not combine claims belonging to different customers or conduct a class, collective, consolidated, or representative proceeding.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
A customer may opt out of this arbitration provision by emailing admin@aschdd.com within thirty (30) days after the customer’s first purchase subject to these Terms. The message must include the customer’s full name, order number, and a clear statement that the customer is opting out of arbitration.
GOVERNING LAW
These Terms and any dispute arising from them will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except to the extent federal law or another mandatory law applies.
When the arbitration provision does not apply, the parties consent to the jurisdiction of the applicable state or federal courts located in Pennsylvania, unless applicable law requires otherwise.
CHANGES TO THESE TERMS
ASC may update these Terms from time to time. Revised Terms become effective when posted on the website or on the later effective date stated in the revised version.
Changes will not retroactively alter the material terms governing an order already accepted unless required by law or agreed to by the customer.
Continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms for future website use. Future purchases will be governed by the Terms presented or made available at the time of purchase.
SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or severed, and the remaining provisions will remain effective.
ENTIRE AGREEMENT
These Terms, together with ASC’s applicable policies, product-page disclosures, quotations, invoices, and written order terms, constitute the agreement between ASC and the customer regarding the applicable transaction.
If a product-specific written term conflicts with these general Terms, the more specific written term will control to the extent permitted by law.
